A traveler boarding a flight at one of the 250 airports worldwide equipped with IDEMIA biometric gates is likely unaware of the ownership of the facial recognition system validating their identity. Amadeus, the Spanish travel technology company that already handles reservations, is set to acquire that capability as well.

      Amadeus has reached an agreement to purchase the public security division of French biometrics company IDEMIA from its private equity owner, Advent International, for $1.35 billion. This deal, announced on Wednesday, marks a significant growth in Amadeus's ambitions for identity infrastructure and represents a notable reduction from the €2 billion to €3 billion valuation that Advent initially sought when offering the asset for sale.

      IDEMIA Public Security is a sizeable enterprise, serving over 600 government, state, and federal agencies worldwide, maintaining biometric systems across more than 250 airports that assist over one billion travelers annually, and managing fingerprint and criminal record processing infrastructure in collaboration with the FBI. The unit also provides mobile driver’s license programs in various U.S. states and offers biometric border control systems in numerous countries. It employs around 3,800 individuals globally and holds the intellectual property for the biometric algorithms utilized throughout the broader IDEMIA organization.

      Founded in 1987 by Air France, Iberia, Lufthansa, and SAS as a reservations technology provider, Amadeus has spent the years since establishing itself as the leading global distribution system for air travel, controlling over 40% of the GDS market. In recent times, it has expanded beyond ticketing to encompass airport operations technology. A significant step in this direction was its €320 million acquisition of Vision-Box in 2024, a Portuguese company specializing in biometric passenger processing systems.

      Acquiring IDEMIA Public Security would further advance this ambition. While Vision-Box focuses on passenger-facing biometric kiosks at boarding gates, IDEMIA PS encompasses the entire identity infrastructure spectrum: border control, law enforcement databases, civil identity document issuance, and digital identity credentials. Integrating this into Amadeus's existing offerings would create a vertically integrated airport technology entity, covering everything from the point a passenger books a ticket to the moment their facial biometrics clear border control.

      Advent International put IDEMIA on the market in 2023, initially aiming for up to €6 billion for the entire group. It later divided the business into three separate divisions. IDEMIA Smart Identity was acquired by French state-backed IN Groupe for a deal that could reach €1 billion, completed in mid-2025. IDEMIA Public Security became the main asset left. French defense contractor Thales also showed interest in acquiring this asset during the sale process, but it seems they were not successful.

      This transaction is part of a larger trend of consolidation in the airport and identity technology sector, spurred by the rapid growth of biometric passenger processing and government digital identity initiatives around the world. IDEMIA Public Security frequently ranks highly in NIST’s fingerprint algorithm evaluations, providing Amadeus with a significant technical advantage for the U.S. government and law enforcement markets alongside the travel sector.

      For the EU, the acquisition presents regulatory considerations. IDEMIA's public security functions involve sensitive aspects of digital identity infrastructure, including biometric surveillance at borders, issuance of national identity documents, and law enforcement databases. The strategic purchase of this infrastructure by a Spanish company, which will ultimately require regulatory approval in multiple jurisdictions, is likely to draw attention from competition authorities and national security reviewers.

      Amadeus reported revenues exceeding €6.5 billion in fiscal 2025, reflecting a 6.1% year-on-year increase, alongside an adjusted EBIT of €1.9 billion. The company has recently announced a €500 million share repurchase program, indicating it approached the IDEMIA negotiations from a position of financial strength.
